Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 13, 2024, Jeh C. Johnson notified the Board of Directors of Lockheed Martin Corporation (the “Company”) that he was resigning from the Board of Directors, effective November 13, 2024. Mr. Johnson’s resignation does not involve a disagreement on any matter relating to the Company’s operations, policies or practices.

The Company thanks Mr. Johnson for his almost seven years of service on the Company’s Board of Directors.
